Outside Counselling for Startup & Growth-Stage Through Mature Companies
Gerardo provides comprehensive legal support from startups and early-stage through mature companies, including, among other things, incorporation, entity formation, ownership structuring, fundraising, employment matters, and commercial contracting. As businesses scale into their growth stages, Gerardo advises on matters such as data handling, data privacy and lead sharing, and truth-in-advertising mechanisms to help companies confidently and successfully execute their go-to-market strategies and scale domestically and internationally. In addition, Gerardo has garnered robust product counseling experience in the advertising and marketing technology space, which allows him to effectively work with product managers and engineers to roadmap future products and services with the applicable legal considerations in mind.
Restructuring & Financial Distress
Gerardo advises financially distressed companies, lenders, and investors seeking to maximize value and avoid bankruptcy through negotiated workouts. His experience also includes complex, court-supervised reorganizations through Chapter 11, as well as international reorganizations leveraging Chapter 15. Gerardo guides clients through debt restructuring, asset sales, and liability management to stabilize business operations and position companies for long-term viability.

Prior to joining Goldstein & McClintock LLLP, Gerardo was a restructuring attorney at Kirkland & Ellis LLP and Arnold & Porter Kaye Scholer LLP. He then transitioned in-house to Amazon.com, where he advised on, among other things, go-to-market legal strategy, commercial negotiations, and product counseling. Before pursuing his Juris Doctor and Masters in Business Administration degrees jointly at Northwestern University, Gerardo’s career was in management of a three-thousand employee national business-to-business industrial supplier.
